Wmpnetwk Gets 50% Of CPU

I run win 7 Home Premium in dual boot mode, 32 bit on one drive and 64bit on the other. Iether boot can access my modem and wireless router when running the Lan enables my notebook to share files with my desktop PC. The notebook is not present at the moment, but I noticed the wmpnetwk.exe is running all the time and is using 50% of CPU time, which slows other things down. The only way I can find to reduce this CPU usage is to turn off all sharing on both boots. The modem is a NetComm NB6 and the router a Dlink DI 524.

Only happened today. My fans started going at 100% when I wasn't at the computer. Had a look in resource monitor & saw that wmpnetwk.exe was using over 20% of the cpu.Didn't know what was going on so I rebooted. WMP started up again. This time I terminated it at the resource monitor. After a few seconds it started again.

the file in the title is using 50 - 70% of my cpu usage and slowing my pc down drastically Is there a way to stop it, delete it, slow it down as i don't use wmp but i do use wmc for everything

Having thought I had resolved my laptop with my RAM stuck on 95% after a few minutes, I now notice that when my Laptop freezes, the task manager shows that the process wmpnetwk.exe is running at around the 1.8gb - 2.4gb. I end the process and the laptop starts back up again, but after a few minutes, the process switches itself back on and the laptop freezes again. As a reminder, I am running Windows 7, have a 320gb hard drive and 3gb RAM. The problem looks like it is Windows Media but I cannot remove it as it is part of the Windows operating system. My laptop is a HP DV6-2020SA.
